Terms and Conditions

Reproduction of any material produced by Manic Monkey Ltd of whatsoever nature, including but not limited to scanning, photocopying, recording or burning is strictly forbidden unless it occurs with the express written permission of Manic Monkey Ltd. Manic Monkey Ltd reserves the right to take appropriate legal action in the event of any such practices occurring.

All statutory rights apply.
Unreturned evaluation copies will be invoiced (including VAT, postage and packing) after 21 days, if no order is placed.
Orders are accepted subject to availabilty of stock and may be delivered in 2 or more instalments and will be invoiced at the time of order.
Manic Monkey Ltd shall always endeavour to provide delivery with the minimum of delay.
The goods shall be delivered to the Customer at the address specified by the Customer. Postage and Packing charges will be at the rate indicated on the order form/invoice. Any redelivery may be subject to additional charges.
Payment shall be made within 14 days of receipt of invoice.
Late payment may be subject to late payment charges and Manic Monkey Ltd shall be entitled to recover from the customer all expenses (including legal costs) incurred in enforcing payment.
Damaged goods must be returned, with a covering letter and invoice, within 14 days.
The Customer shall be deemed to have accepted the goods if the goods have not been rejected and returned on or before the 14th day after delivery. The Customer shall not be entitled to reject or return the goods in whole or in part after this date.
Manic Monkey Ltd. reserve the right to modify prices as necessary.
Manic Monkey Ltd does not accept any responsibility for the goods following delivery.
Notwithstanding the above, title of the goods shall not pass to the Customer before the Customer has made payment of all sums owing to Manic Monkey Ltd.
Until such time as payment in full is received by Manic Monkey Ltd from the Customer, Manic Monkey Ltd shall have the right to repossess or otherwise recover the goods.
Save in respect of personal injury or death due to the negligence of Manic Monkey Ltd, Manic Monkey Ltd shall not be liable to the customer in respect of any loss suffered by the Customer due to any defect in the goods.
Without prejudice to the above, Manic Monkey Ltd shall not be liable to the Customer or any third party for any loss of revenue, consequential loss or any other form of economic loss suffered by the Customer arising in any way from this agreement
Manic Monkey Ltd shall not be liable for any default due to any circumstances beyond the reasonable control of Manic Monkey Ltd, including, but not limited to Acts of God, war, civil unrest, riot, strike, lock-out, acts of civil or military authorities, fire, flood, earthquake or shortage of supply or failure of the supplier to deliver goods to Manic Monkey Ltd.
If any term or provision of these conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction, such term or provision shall be severed and the remainder of the terms or provisions shall still apply.
Manic Monkey Ltd may, without the consent of the Customer, sublicense its rights or obligations or any part of these conditions
Manic Monkey Ltd shall issue an official Purchase Order for all goods and services commissioned from its preferred Suppliers.
All special requirements shall be defined in the Purchase Order, as agreed between Manic Monkey Ltd and the Supplier.
Acceptance of Purchase Orders will be deemed as an agreement of Manic Monkey Ltd’s Terms and Conditions and Invoices will be supplied accordingly.
Failure to meet special requirements will be deemed breach of agreement. Manic Monkey Ltd will, at its discretion, allow a period of remedy, after which Eclipse reserves the right to terminate the agreement.
Late delivery may be subject to late delivery penalties at 2.5% per week (10% per month) of the total Purchase Order value.
Each of the parties agrees that, not withstanding statements made fraudulently, it shall have no remedy in respect of any untrue or misleading statement upon which it relied in entering this agreement and that its only remedies shall be for breach of contract
This agreement is governed by the laws of England and Wales
